Job Summary
Orbita, a venture studio based in Luxembourg, is looking for a dynamic and experienced Legal Advisor to join our team.
This role involves providing comprehensive legal guidance on corporate governance, entity formation, and compliance, as well as supporting mergers, acquisitions, research and development projects. The ideal candidate will bring expertise in European law, experience with international business structures, and a knack for handling complex legal documents and contracts.
Responsibilities:
Legal Advisory:
- Provide Legal guidance and support on corporate governance, entity formation, structuring, and compliance matters of European, US, and foreign companies;
- Handle incorporation, reorganization, and liquidation of companies European, US, and foreign companies;
- Legal support of M&A and R&D projects.
Contracts and Transactions:
- Prepare, review, and negotiate various contracts, agreements, and legal documents such as shareholder agreements, investment documents, employment contracts, and vendor agreements;
- Support of corporate procedures (AoA, SHA, SPA);
- Interaction with patent attorneys, support for trademark registration;
- Conducting review and risk-based assessment of incoming contracts (NDA, service agreements, partnership agreements, etc.).
Qualifications:
- 3+ years of relevant experience in international IT companies (must have) in corporate law within the EU, ideally with startups or venture studios;
- Knowledge of European law/experience with European projects (must have);
- Understanding international business and its needs;
- Consumer and Data protection experience;
- Desire to develop yourself and desire to find solutions for extraordinary situations;
- Multitasking and ability to prioritize tasks;
- Fluent in English and Russian, additional languages would be a big plus;
- Knowledge of American law/experience with the United States projects (nice to have).
